This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee", "you") and VVR Smart Solutions Private Limited ("Licensor", "we", "us"), governing your use of the SkuTeq Parent-School mobile application (the "App"). By installing, accessing, or using the App, you agree to be bound by this Agreement.
1. Grant of License
Subject to your compliance with this Agreement, VVR Smart Solutions Private Limited grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a compatible mobile device solely for personal, non-commercial use as a parent/guardian authorized by your child's school.
2. Restrictions
You shall not, and shall not permit others to:
- Copy, modify, adapt, translate, or create derivative works of the App
- Reverse-engineer, decompile, or disassemble the App, except to the extent such restriction is prohibited by applicable law
- Rent, lease, sell, sublicense, distribute, or otherwise transfer the App to any third party
- Remove, obscure, or alter any proprietary notices on the App
- Use the App to access data or accounts you are not authorized to access
3. Ownership
The App is licensed, not sold. VVR Smart Solutions Private Limited and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights therein. This Agreement does not grant you any rights to trademarks, service marks, or logos of VVR Smart Solutions Private Limited or its school partners.
4. Updates
We may from time to time provide updates, patches, or new versions of the App. Such updates may be installed automatically or may require your action, and continued use of the App after an update constitutes acceptance of any revised terms accompanying that update.
5. Third-Party Components
The App may include third-party software components (e.g., open-source libraries, payment SDKs, notification services), which are licensed to you under their own respective terms, to the extent applicable, in addition to this Agreement.
6. Term & Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms, or if your access is revoked by the school administering your account. Upon termination, you must cease all use of the App and delete it from your device.
7. Disclaimer of Warranties
The App is provided "as is," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall VVR Smart Solutions Private Limited be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or related to your use of, or inability to use, the App.
9. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations in connection with your use of the App.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Courts at Bangalore, Karnataka shall have exclusive jurisdiction over any disputes arising under this Agreement.
11. Entire Agreement
This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and VVR Smart Solutions Private Limited regarding the App and supersedes any prior agreements or understandings, whether written or oral.
